Overview

Shlomi Delgo is a partner in the Corporate Practice Group of the firm who advises on a broad range of corporate and commercial transactions with a particular focus on corporate law, mergers and acquisitions, joint ventures, private equity, corporate governance, equity investments, shareholder disputes, corporate structuring, founder agreements, construction and development, energy and infrastructure, real estate, insolvency and tenders and government procurement contracts.

Shlomi’s clients include financial institutions, multinationals, private, public and government companies, non-profit organizations, private equity funds and real estate and infrastructure investment funds.

In his tender and government procurement practice, Shlomi acts for bid vehicles, consortia, investors, as well as sponsors and issuers of tenders, at all stages of the tender process. He has extensive experience advising on procurement strategy, pre-qualification documents and drafting of tender documents, as well as accompanying and advising clients throughout the whole tender and project process.

Shlomi joined S. Horowitz & Co. in 2006, where he completed his internship and qualified as an Israeli advocate in 2007.

Experience

Shlomi’s experience includes:

  • Representing Minrav Projects, a public company in the infrastructure sector, in its NIS 600 million acquisition via reverse triangular merger by TASE-listed Israel Canada and A.R Rem Projects.
  • Representing a syndication of lenders led by Mizrahi-Tefahot Bank, in a complex refinancing transaction in excess of NIS1 billion to replace loans and credit lines granted in connection with the construction of two private power plants – Ramat Negev Energy and Ashdod Energy.
  • Representing the Israel Infrastructure Fund (Israel’s largest infrastructure private equity fund) on various transactions, including the acquisition of the Via Maris Desalination project from the Azrieli Group, the preferred equity investment in Dalia Energies power station (Israel’s largest privately owned gas-powered electricity station), series of transactions for the sale and purchase of shares and rights in Dalia Energies and related entities thereto, as well as the tender process for the acquisition of the Ashdod Desalination Plant from Mekorot Development and Enterprise Ltd.
  • Representation of a syndicate of banks and institutional bodies led by Bank Hapoalim in the USD 350 million refinancing of Oil Refineries Ltd.
  • Representing the Israel Electric Corporation in the tender process for the sale of Alon Tavor power station to private investors.
  • Representing Zen Protocol, Israeli start-up that makes secure and peer-to-peer finance possible on a public blockchain, in connection with its Initial Coin Offering.
  • Representing the Weizmann Institute of Science on a complex real estate transaction relating to the construction of a new student dormitory complex.
  • Representing Bank Hapoalim in the receivership of Kachtan Brothers, including the sale of real estate properties in Tel-Aviv, Haifa and Holon.
  • Representing Israel Discount Bank in several receivership proceedings over Eliezer Fishman’s affiliated companies, including the sale of NIS 180 million debt to a third party.
  • Representing Readymix Industries (a wholly owned subsidiary of Cemex) in its multi-million dollar acquisition of four concrete plants and ancillary equipment from a trustee appointed under a stay of proceedings order.
  • Representing a consortium of banks in connection with the receivership of Zeevi Communications Management and Financing Ltd and the subsequent sale by way of realisation of US$750 million worth of shares in Bezeq, one of Israel’s major telecommunications companies, in the largest secondary offering in Israel’s history.
  • Representing Club Hotel on the sale of controlling interests in the Israeli publicly traded companies Paz-Chen Ltd. and Zmicha Investments Company Ltd.
