Overview

Amir has many years of experience advising clients on corporate and securities related matters and capital markets transactions, including in particular listings and offerings of different financial products on the TASE and NASDAQ, as well as debt financing arrangements, disclosure and corporate governance issues.

Amir also represents emerging growth companies from creation through and beyond public offerings or acquisitions, and has extensive experience in day to day corporate matters, providing companies with legal advice on a full range of both complex and routine corporate and commercial issues.

Experience

  • Representing Minrav Holdings Ltd. (TASE: MNRV) in a range of debt capital markets transactions totaling more than NIS 0.5 billion, including the public and private issuances of three series of bonds and an exchange purchase offer.
  • Representing Minrav Projects Ltd. (TASE: MNPR) in its initial public offering (IPO) on the Tel-Aviv Stock Exchange and in the raising of NIS 132 million following the company’s conversion into a public company.
  • Representing Minrav Projects Ltd. (TASE: MNPR) in a Reverse Triangular Merger with public company Israel-Canada and the Nakash brothers, whereby the all of the company’s shares are to be purchased from the public, thus turning the company into a private company, for a consideration in the amount of about NIS 600 million.
  • Representing Issta Lines Israel Students Travel Company Ltd. (TASE: ISTA) in private placements of shares and warrants in a total amount of NIS 110 million.
  • Representing Mordechai Aviv Taasiot Beniyah 1973 Ltd. (TASE: AVIV) in a number of public offerings of debt totaling more than NIS 110 million.
  • Representing The Phoenix Holdings Ltd. (TASE: PHOE) in its NIS 40 million investment (shares and bond) in King Store, the leading operator of supermarkets in the Israeli Arab sector.
  • Advising Arena Star Group’s independent board of directors’ committee in connection with an offer by the company’s controlling shareholder to purchase the company’s holdings in the Arena Nahariya Mall and the Star Ashdod Mall in consideration of NIS 790 million.
  • Advising B Communications Ltd. (TASE: BCOM, NASDAQ: BCOM) on securities and corporate matters pertaining to maintaining control over Bezeq.
  • Advising Apollo Power Ltd. (TASE: APLP) in a number of public issuances and private placements, as well as in two proceedings to obtain a court approval for an arrangement to change the terms of two series of the company’s public warrants
  • Represented a leading global semiconductor company in a number of bond issuances on TASE and NASDAQ totalling approximately USD 200 million
  • Represented one of Israel’s leading IT companies in a number of bond issuances on TASE totalling approximately NIS 150 million
  • Represented the bondholders of a telecommunications company traded on TASE in the restructuring of its debt of approximately NIS 1.1 billion
  • Advising one of Israel’s leading IT companies in a number of M&A transactions, including its acquisition of an international software testing company traded on TASE by way of a reverse triangular merger
  • Represented one of the subsidiaries of Israel’s largest construction and infrastructure company in a bond issuance on TASE totalling NIS 150 million
  • Represented a real estate company in one of the first securitisation bond issuance on TASE totalling approximately NIS 100 million
  • Represented a serial entrepreneur in the purchase of control over a shell company traded on TASE and the raising of funds by the issuance of shares and warrants to institutional investors
