Overview

Our Capital Markets Practice Group has extensive knowledge and experience in representing public and private companies, management, boards of directors and board committees (including special independent and litigation committees) on a full range of matters involving securities offerings, corporate governance, fiduciary duties and compliance and disclosure.

We represent underwriters and issuers across industries, in IPO’s, the acquisition of public shell companies, the raising of debt and equity on TASE, the registration for trade on TASE of foreign corporations, securitization, debt arrangements and private placements including equity line arrangements.

In addition, we counsel companies on matters involving interaction with the Israeli Securities Authority and TASE, on executive compensation, enforcement programs and interested party transactions, and provide ongoing legal counsel to institutional investors, underwriters, rating agencies and bond trustees.

As members of our team have worked for leading US and English law firms on both public and private placement of equity and debt securities, we are ideally placed in advising and guiding foreign institutions through the regulatory issues surrounding security offerings and other securities-related matters in Israel within the constraints of foreign securities law implications.
