We advise on all the legal and commercial aspects spanning the business, financial, development and commercialization life cycle of start-ups and mature hi-tech companies. Our clients operate in diverse fields, including financial technology (FinTech) (Safecharge Group) and algo-trading (Final Group, Coral Reef Technologies Ltd., Zen Protocol, Valluga LP), crowdfunding, healthcare and medical devices (Medial Group), information security and cyber (Sayata Labs Ltd.), software (DocAuthority,), defence technology, sport technology (Ludus), artificial intelligence and machine learning as well as IOT.

 

At the seed stage, we advise founders and early stage companies on corporate structuring, technology licensing, founder agreements, employee incentive schemes, tax, obtaining and registering a clear chain of IP title, government research and development grants and, most importantly, on planning, devising and developing strategy for the fundraising process in an endeavour to successfully raise capital whether from angel investors or venture capital funds.

 

For those of our clients that are at a more developed stage, we advise on the commercialisation of IP, potential collaboration, technology transfers, joint ventures and strategic alliances, further rounds of fundraising, management and exits (whether by way of M&As or IPOs) and growth. The firm is particularly strong in acting for hi-tech companies on their investment structuring at all stages of the investment cycle and in managing and overseeing the applicable commercial contracts.

 

With respect to our technology-based multinational clients, we assist in their setting up of local Israeli subsidiaries (Delek US), or cooperate with foreign counsel in order to establish entities abroad, all in order to provide full and comprehensive legal advice on the commercial aspects relevant to their particular area of activity. In addition, we advise foreign clients on their contemplated collaborations with, and/or acquisitions of, hi-tech companies (Syndigo, Buyers Edge Platform LLC, Rigaku Corporation). We are also one of the few firms in Israel with experience in acting for multinationals on their setting-up and management of government-funded research and development centres.

 

One notable strength of our Hi-Tech practice is the team’s involvement and vast experience in acting for venture funds wishing to support, and invest in, specific fields of hi-tech, including accompanying and providing them with ongoing advice related to potential or specific investments and ancillary transactions (Berkeley Ventures Sonae IM; Lucky Dragon; Journey Ventures; Spring Ventures; Koito Manufacturing (TYO: 7276); Chengdu Kanghong Pharmaceuticals (SHE: 002773)). Our representation in this regard spans from advising clients on the establishment of investment funds (including addressing all regulatory and tax-related issues that may be of relevance), preparing the necessary incorporation documents, applying for the necessary licences from the competent regulatory bodies, etc.) and encompasses also representing clients in complex acquisition and investment transactions, both in Israel and abroad.
