Overview

Avner Itzhaki is a partner at S. Horowitz & Co. in Tel Aviv where he advises on a full range of corporate and commercial transactions with a particular focus on cross border mergers and acquisitions, joint ventures, venture capital and seed capital financings, bank financings and securities laws.

In addition to advising on individual transactions, Avner provides legal counsel on all matters relating to the operation, management and development of clients’ business and trading activities in Israel. He also represents early stage companies, technology companies, investors and venture capital funds on corporate structuring, licensing, investment round financing, founder agreements and exits.

Avner joined S. Horowitz & Co in 2008, where he completed his internship and qualified as an Israeli advocate.

Experience

  • Representing Cardinal Health (NYSE: CAH) in the Israeli aspects of its $6.1 billion acquisition of Medtronic’s (NYSE: MDT) product portfolio of Patient Care, Deep Vein Thrombosis and Nutritional Insufficiency.
  • Representing U.S-based Danaher Corporation (NYSE: DHR), a Fortune 500 science and technology innovator, in its $100 million acquisition of Advanced Vision Technology, an Israeli company traded on the Frankfurt Stock Exchange.
  • Acting for France-based international cosmetics company, Groupe Rocher, in its acquisition of Israel’s Sabon Group which operates in the US. Europe and Japan.
  • Taking part in representing Bank Leumi and its US subsidiary, Bank Leumi USA on four complex inter-related and cross guaranteed multi-currency revolving facilities of US$ 370 million to Gazit-Globe Ltd. and three of its US subsidiaries
  • Representing Kimberly-Clark Corporation on its acquisition of a 49.9% interest in Hogla-Kimberly from Hadera Paper Ltd. for NIS 648 million (approximately US$162.5 million)
  • Representing General Electric Co. on the Israeli law aspects with respect to the US $17 billion acquisition of the energy assets of Alstom SA and other certain Israeli companies.
  • Representing Booking.com on its acquisition of Evature Ltd.
  • Rpresenting General Motors on the sale of GM’s shareholding in Universal Motors Israel Ltd. for a company value of NIS 685 million

 

 

Other Activities

During his legal studies, Avner:

 

  • Participated in the Human Rights Clinic of Tel Aviv University, a pro bono program providing legal services to needy people as part of Tel-Aviv University’s Clinical Legal Education Program
  • Volunteered in the “HALEV” Organization, a pro bono volunteer program providing legal services to the underprivileged
